Terms of service

These Terms of Service (the “Terms”) govern access to and use of Courantly — the website agregator.az, the web application app.agregator.az, the API and related services (the “Service”). Please read them carefully.

1. Who provides the Service

The Service is provided by “MAX SISTEMLERI” LLC (Max Systems), a company registered in the Republic of Azerbaijan: 205 Heydar Aliyev Ave., Olympic Village, Bldg 2, Apt 85–86, Baku AZ1033, Azerbaijan; phone +994 77 407 07 27 (“we”, “us”).

By creating an account, connecting a channel or otherwise using the Service, you accept these Terms on your own behalf and on behalf of the organization you represent (the “Customer”, “you”). If you do not agree, do not use the Service.

2. The Service

Courantly is an AI newsroom for businesses. The Service:

  1. monitors public news sources selected by the Customer (RSS feeds, publishers’ websites, official public APIs) and scores stories for relevance to the brand;
  2. drafts posts in the brand’s voice with AI, linking the original source;
  3. puts drafts into a review queue: by default a member of the Customer’s team approves, edits or rejects every draft; the Customer may instead enable auto-approval rules for its own channels, and content published under those rules is treated as approved by the Customer;
  4. publishes approved posts on schedule to the Customer’s own Pages, company pages, business or creator accounts and channels that the Customer connected through each platform’s official authorization, using official APIs;
  5. shows analytics of the published posts.

Courantly does not post to personal profiles, does not send direct messages and does not follow, like or comment on behalf of users. Some integrations become available only after the platform approves our application, and their availability depends on the platforms.

3. Eligibility and business use

The Service is intended for businesses and professionals, not for personal or household use. You must be at least 18 years old and authorized to act on behalf of the Customer. You may not use the Service if applicable law or sanctions prohibit it.

4. Accounts and security

Provide accurate information and keep it up to date. Keep your sign-in methods (email, passkeys, Google or Telegram sign-in, second factor) secure and do not share access. The Customer is responsible for the actions taken under its accounts and for the roles it gives to team members. Tell us at once at support@agregator.az if you suspect unauthorized access. We may require a second factor for sensitive actions.

5. Connected accounts

You confirm that you are authorized to connect each Page or account and to publish on its behalf. You authorize us to use the permissions you grant on the platform only to publish content approved by you, to read metrics of the posts Courantly published and to check the connection.

You can disconnect a channel in Courantly at any time — the stored tokens are deleted immediately — or revoke access in the platform’s settings. Platforms may change or limit their APIs, reject posts, or restrict or suspend accounts; we are not responsible for such actions of the platforms.

6. Compliance with platform rules

You must comply with the terms, policies and community guidelines of every platform you connect, including:

  1. Meta — the Facebook Terms of Service and Pages, Groups and Events Policies, the Instagram Terms of Use and Community Guidelines, the Threads Terms of Use; Courantly itself operates under the Meta Platform Terms and Developer Policies;
  2. X — the X Terms of Service, the X Rules and the automation rules; Courantly itself operates under the X Developer Agreement and Policy;
  3. LinkedIn — the User Agreement and Professional Community Policies; Courantly itself operates under the LinkedIn API Terms of Use;
  4. TikTok — the Terms of Service and Community Guidelines; when publishing to TikTok you make the choices on the “Post to TikTok” screen yourself, disclose commercial content accurately and agree to TikTok’s Music Usage Confirmation (https://www.tiktok.com/legal/page/global/music-usage-confirmation/en) and, for branded content, the Branded Content Policy (https://www.tiktok.com/legal/page/global/bc-policy/en); Courantly follows TikTok’s Content Sharing Guidelines;
  5. Reddit — Courantly uses Reddit only read-only, as a trend source, in accordance with the Reddit Data API Terms;
  6. YouTube — by using Courantly features that rely on YouTube API Services you agree to the YouTube Terms of Service (https://www.youtube.com/t/terms); Google’s processing is described in the Google Privacy Policy (https://policies.google.com/privacy); Courantly complies with the YouTube API Services Terms of Service.

7. AI-generated content

Drafts are produced by AI models (Anthropic Claude for text and, optionally, OpenAI models for images). The AI is instructed not to invent facts and to link the source, but AI output may contain errors, omissions or outdated information, and may resemble other content. The Customer reviews content before publishing and is responsible for what is published, including under auto-approval rules it configured. Where a platform or the law requires AI-generated content to be labelled, the Customer is responsible for the label.

8. Customer content and responsibility

Customer content includes brand settings, voice and glossaries, source lists, uploaded files, drafts, edits and published posts. The Customer keeps all rights to its content and is responsible for it and for everything published from its connected accounts: compliance with the law, rights to the materials, advertising and disclosure rules.

The Customer grants us a non-exclusive, worldwide, royalty-free licence to host, copy, process, transmit and display customer content only to provide, secure and support the Service and to carry out the Customer’s instructions (for example, publishing). The licence ends when the content is deleted, except for copies kept for a limited time in backups. We do not use customer content or platform data to train AI models.

9. Acceptable use

You may not use the Service to:

  1. send spam or unsolicited mass messages, manipulate engagement or use fake accounts;
  2. impersonate any person or organization or mislead people about the source of content;
  3. automate personal profiles or publish to accounts you do not manage;
  4. publish unlawful, defamatory, hateful, harassing or deceptive content, or content that infringes intellectual property or privacy rights;
  5. circumvent platform limits, rate limits or security measures, or interfere with the Service, reverse-engineer or scrape it;
  6. monitor or profile individuals, or process special categories of personal data without a legal basis;
  7. resell access to the Service, except as allowed by your plan (for example, an agency managing its clients’ brands).

10. Signals and leads

When the Customer uses signals and leads, it is the controller of the personal data in them, must have a legal basis for processing them and contacts people only in compliance with the law and platform rules. Courantly prepares drafts of replies but does not send them on its own: messages to people are sent by the Customer.

11. Plans, trial and fees

Plans, limits and prices are listed on the pricing page or in the order or invoice agreed with us. A free trial (currently 14 days) may be offered; at the end of the trial a paid plan is needed to continue. Fees are paid in advance for each billing period unless agreed otherwise. Prices do not include taxes, which are paid by the Customer where applicable.

We may change prices with at least 30 days’ notice; the change applies from the next billing period. Unless otherwise stated in the order or required by law, paid fees are non-refundable; if we terminate the Service without the Customer’s fault, we refund the prepaid fees for the unused period. If payment is overdue, we may suspend the Service after notice.

12. Intellectual property

The Service, its software, design and the Courantly brand belong to us or our licensors. During the subscription we grant the Customer a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms. We may freely use feedback and suggestions about the Service.

13. Third-party services

The Service works together with third-party platforms and providers (social networks and messengers, AI providers, hosting). Their terms apply to their services. We are not responsible for their availability, changes to their APIs or their decisions about accounts and content.

14. Privacy and data deletion

How we process personal data is described in the Privacy policy: https://agregator.az/en/privacy. How to delete data and disconnect platforms: https://agregator.az/en/data-deletion. For personal data that we process on the Customer’s behalf we act as a processor and follow the Customer’s instructions; a data processing agreement is available on request at privacy@agregator.az.

15. Changes to the Service

We continuously improve the Service and may add, change or remove features. We will give advance notice of changes that materially reduce the functionality of a paid plan. Unless a separate agreement says otherwise, we do not guarantee a specific level of availability, and maintenance work may be carried out.

16. Suspension and termination

You may stop using the Service at any time: disconnect channels, delete your account in the Privacy center or ask us to delete the organization. We may suspend or terminate access in the event of a breach of these Terms, non-payment, a threat to security, a requirement of the law or of a platform, with prior notice where practicable.

After termination, access to the Service ends, the tokens of connected accounts are deleted, and other data are deleted within the periods set out in the Privacy policy; before that, you can export your data. The provisions that by their nature should survive termination (responsibility, limitation of liability, governing law) continue to apply.

17. Disclaimers

The Service is provided “as is” and “as available”. To the extent permitted by law, we do not guarantee specific results (reach, engagement, leads, sales), the accuracy of AI output, uninterrupted operation or the approval of our application by any platform.

18. Limitation of liability

To the extent permitted by law, we are not liable for indirect or consequential damages, lost profits, revenue, data or goodwill. Our total liability for all claims related to the Service is limited to the amount the Customer paid us for the Service in the 12 months before the event giving rise to the claim. These limitations do not apply where the law does not allow them to be limited, including for intentional misconduct.

The Customer will compensate us for losses arising from third-party claims related to customer content, posts published from its accounts or its breach of these Terms or platform rules.

19. Governing law and disputes

These Terms are governed by the law of the Republic of Azerbaijan. We will first try to resolve any dispute by negotiation within 30 days of receiving a written claim. If that fails, the dispute is resolved by the competent courts of the city of Baku, Republic of Azerbaijan.

20. Changes to these Terms

We publish the new version of the Terms on this page with its date. We notify account holders of material changes at least 15 days in advance by email or in the application. If you continue using the Service after the changes take effect, you accept the new version.

21. General

These Terms, together with any order or separate agreement, form the entire agreement on the use of the Service. If any provision is held invalid, the rest remain in force. Our failure to enforce a provision is not a waiver. Neither party is liable for delays caused by circumstances beyond its reasonable control. The Terms are published in Azerbaijani, Russian and English; in case of discrepancies, the English version prevails.
